Terms and Conditions for Vendors/Business Partners
1. Introduction
Welcome to YugoHrana! These Terms and Conditions (“Terms”) govern the relationship between YugoHrana (“Company”) and its vendors and business partners (“Partners”). By partnering with YugoHrana, you agree to abide by these Terms.
2. Partner Eligibility
- Partners must be legally registered businesses in their respective countries.
- Partners must provide accurate and up-to-date documentation upon request, including but not limited to business licenses, tax identification numbers, and hygiene certifications.
3. Partner Obligations
- Compliance: Partners must comply with all local laws and regulations, including health, safety, and food standards.
- Food Quality: Ensure all food products offered through the platform are fresh, safe for consumption, and comply with quality standards.
- Inventory Management: Accurately manage the listing of surplus food, specifying the quality, availability, and pickup times.
- Pricing: Offer competitive and fair prices for surplus items listed on YugoHrana’s platform.
- Customer Interaction: Treat customers with respect and professionalism during pickups or inquiries.
4. Platform Usage
- Partners will receive access credentials to the YugoHrana platform, which must remain confidential.
- All transactions and interactions must occur through the platform to ensure transparency and accountability.
5. Payment Terms
- Revenue Sharing: YugoHrana retains a commission of 30% from each sale made through the platform.
- Payouts: Payments will be disbursed to Partners on a [weekly/monthly] basis, minus the applicable commission and fees.
- Payment Disputes: Any disputes regarding payments must be raised within 30 days of the payout date.
6. Intellectual Property
- Partners grant YugoHrana a non-exclusive license to use their brand name, logo, and product images for promotional purposes on the platform.
- All platform-related intellectual property, including software and trademarks, remains the sole property of YugoHrana.
7. Termination
- By the Partner: Partners may terminate their agreement with YugoHrana with 30 days written notice.
- By YugoHrana: The Company reserves the right to terminate the partnership immediately in cases of:
- Non-compliance with these Terms.
- Fraudulent activity.
- Repeated customer complaints.
- Upon termination, all outstanding payments will be settled within 30 days, provided there are no disputes.
8. Confidentiality
- Partners must not disclose any confidential information obtained through the partnership, including but not limited to platform analytics, customer data, and company strategies.
9. Liability and Indemnification
- YugoHrana is not liable for any indirect, incidental, or consequential damages arising from the Partner’s use of the platform.
- Partners agree to indemnify and hold YugoHrana harmless from any claims, liabilities, or expenses arising out of their operations or breach of these Terms.
10. Dispute Resolution
- Any disputes arising under these Terms will first be resolved through mutual discussion.
- If unresolved, disputes will be submitted to arbitration under the court of law.
11. Amendments
- YugoHrana reserves the right to modify these Terms at any time. Changes will be communicated to Partners with at least 10 days notice before taking effect.
12. Miscellaneous
- Force Majeure: YugoHrana will not be held liable for delays or failures resulting from events beyond its control.
- Entire Agreement: These Terms constitute the entire agreement between YugoHrana and the Partner.
